1. Introduction
Neuromous (“Neuromous”, “we”, “us”, “our”) is an autonomous AI workforce platform that enables businesses and individuals to deploy, configure, and operate AI agents capable of performing tasks, and interacting with third-party systems through connected tools and APIs.
These Terms of Service (“Terms”) govern your access to and use of Neuromous services, including all software, APIs, agents, dashboards, workflows, integrations, and related infrastructure (collectively, the “Services”).
By accessing or using the Services, you agree to these Terms.
2. Nature of the Service
Neuromous provides AI-powered autonomous agents that may function as “AI employees” capable of executing tasks across connected systems.
These agents may:
- Execute actions across third-party tools and APIs
- Access and process user-provided data and instructions
- Operate continuously or on scheduled triggers
- Make decisions based on configured logic, models, or prompts
Agents are software systems, not human employees
Outputs and actions may be incorrect, incomplete, or unintended
You are solely responsible for configuration and deployment of agents
Neuromous does not guarantee outcomes, accuracy, or success of any task execution
3. Eligibility
You must be at least 18 years old and legally capable of entering into contracts to use the Services.
If using on behalf of an organization, you represent that you have authority to bind that organization.
4. Accounts and Security
You are responsible for:
- Maintaining account security
- Protecting API keys, credentials, and integrations
- All actions performed through your account or agents
- Configurations that enable autonomous execution
Neuromous is not liable for unauthorized access resulting from your failure to secure your account.
5. AI Agents and Autonomy Risk
Neuromous agents can be configured with varying levels of autonomy, including fully autonomous execution without human approval.
You expressly acknowledge and agree:
- You control whether agents require approval or operate autonomously
- Enabling autonomy transfers operational responsibility to you
- Actions taken by agents are considered actions initiated by you
- You are responsible for monitoring and limiting agent behavior
- Neuromous does not supervise or validate individual agent actions
You assume all risks associated with autonomous execution.
6. Supported Integrations and Third-Party Tools
Neuromous may integrate with third-party services including but not limited to:
- APIs and SaaS platforms
- Cloud providers
- Communication tools
- Financial or business systems
- Developer infrastructure
You are responsible for:
Connecting and authorizing third-party accounts
Ensuring you have legal rights to use those services
Compliance with third-party terms of service
Neuromous is not responsible for failures, losses, or damages caused by third-party services.
7. Acceptable Use Policy
You may not use the Services for:
- Illegal activity or regulatory violations
- Unauthorized access to systems or data
- Fraud, phishing, or deception
- Malware distribution or exploitation
- Surveillance without legal authorization
- Harmful financial manipulation or market abuse
- Violation of intellectual property rights
- Attempting to reverse engineer Neuromous systems
- Overloading or abusing platform infrastructure
Neuromous reserves the right to suspend accounts immediately for suspected abuse.
8. High-Risk Use Restrictions
Unless explicitly approved in writing, you may not use Neuromous for:
- Medical diagnosis or treatment decisions
- Legal advice or court filings without human review
- Direct financial trading execution in high-risk markets
- Critical infrastructure control (power, transport, healthcare systems)
- Military or weapons-related applications
You are fully responsible for ensuring compliance with applicable law.
9. User Content and Data Rights
You retain ownership of all data, prompts, workflows, and content submitted to Neuromous.
By using the Services, you grant Neuromous a limited license to:
- Process data to operate agents and workflows
- Store and transmit data as required for functionality
- Maintain logs for debugging, safety, and security
- Improve system performance in anonymized/aggregated form
Neuromous does not claim ownership of your business data.
10. AI Outputs and Responsibility
You acknowledge that:
- AI-generated outputs may be inaccurate or incomplete
- Agents may take unintended actions if misconfigured
- Human oversight is recommended for critical workflows
You are solely responsible for verifying outputs before use.
Neuromous is not liable for decisions made based on AI output.
11. Payments, Credits, and Billing
Neuromous operates on:
- Subscription plans
- Usage-based credit consumption
- Hybrid billing models
You agree that:
Credits are consumed when tasks are executed
All fees are non-refundable unless required by law
Failure to maintain payment may suspend Services
Pricing may change with notice
Usage-based consumption is final once executed.
12. No Free Tier
Neuromous does not offer a free tier.
Trial access, if provided, is strictly limited and may be revoked or modified at any time.
13. Service Availability
Neuromous does not guarantee uninterrupted service.
We may:
- Modify or discontinue features
- Perform maintenance
- Experience downtime or outages
- Update AI systems or infrastructure
We are not liable for service interruptions.
14. Intellectual Property
Neuromous retains all rights to:
- Platform software
- AI orchestration systems
- Agent frameworks
- Infrastructure and APIs
- Branding and trademarks
You may not copy, resell, or reverse engineer the platform.
15. Limitation of Liability
To the maximum extent permitted by law:
- Neuromous is not liable for indirect, incidental, or consequential damages
- Neuromous is not responsible for financial losses, business losses, or data loss
- Total liability is limited to fees paid in the past 12 months
You assume all risks associated with agent execution and automation.
16. Indemnification
You agree to indemnify Neuromous against claims arising from:
- Your use of the Services
- Actions of your AI agents
- Violations of these Terms
- Misuse of third-party integrations
- Legal or regulatory violations
17. Termination
We may suspend or terminate access if:
- You violate these Terms
- You misuse autonomous agent capabilities
- You create security or legal risk
- Required by law
Upon termination:
Access to Services ends immediately
Data may be deleted after retention period
Certain obligations survive termination
18. Privacy
Use of the Services is also governed by our Privacy Policy.
19. Changes to Terms
We may update these Terms at any time.
Continued use after updates means acceptance of revised Terms.
20. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, United States.
Disputes will be resolved through:
- Good faith negotiation first
- Binding arbitration or courts in Delaware (at Neuromous discretion)
